01 Acceptance of these terms
These Terms of Use (“Terms”) are a legal agreement between you and Capitall India Private Limited (“Capitall”, “we”, “us” or “our”), the company behind AuditNexia and Audytr AI. They govern your access to and use of our website at www.auditnexia.io, our applications, and related services (together, the “Services”).
By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you are using the Services on behalf of an organisation, you confirm that you are authorised to accept these Terms for that organisation. If you do not agree, please do not use the Services.
Capitall India Private Limited is incorporated in India under the Companies Act, 2013 (CIN U93090DL2019PTC354741), with its registered office at 3/14, 4th Floor, Asaf Ali Road, Near Delite Cinema, Central Delhi, Delhi – 110002, India.
02 Definitions
- “Services” — the AuditNexia and Audytr AI platform, the website, and any related tools, content and support we provide.
- “Customer” — the organisation that subscribes to the Services under an order or agreement.
- “User”, “you” — any individual who accesses or uses the Services.
- “Customer Content” — the data, documents and records uploaded to or generated within the Services by a Customer or its Users.
- “Subscription Agreement” — any separate written agreement or order form between us and a Customer for the paid Services.
03 Eligibility and accounts
The Services are intended for business use by professionals aged 18 or over. To use certain features you must register for an account. You agree to provide accurate information, keep it up to date, and keep your login credentials confidential. You are responsible for all activity that occurs under your account, and you must notify us promptly at office@capitall.io if you suspect any unauthorised use.
04 Your right to use the Services
Subject to these Terms and any applicable Subscription Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. This right does not include any right to resell, sublicense, or make the Services available to third parties, except as expressly permitted by us in writing.
05 Acceptable use
You agree not to, and not to permit others to:
- use the Services in violation of any applicable law or regulation, or to infringe the rights of others;
- upload or transmit any content that is unlawful, harmful, or that you do not have the right to share;
- attempt to gain unauthorised access to the Services, other accounts, or our systems and networks;
- interfere with or disrupt the integrity or performance of the Services, including by introducing malicious code;
- reverse engineer, decompile or attempt to derive the source code of the Services, except as permitted by law;
- copy, modify, or create derivative works of the Services, or use them to build a competing product; or
- use automated means to access or scrape the Services except as expressly authorised.
06 Your content and data
As between you and us, you (or your Customer) retain all rights in Customer Content. You grant us a limited licence to host, process and transmit Customer Content solely to provide and support the Services, and as otherwise set out in the applicable Subscription Agreement. You are responsible for the accuracy and legality of Customer Content and for having the necessary rights and consents to provide it to us.
Our handling of personal data is described in our Privacy Policy, where we act as a processor in respect of Customer Content.
07 Intellectual property
The Services, including all software, content, design, and the AuditNexia, Audytr AI, DataNexia and CapItAll names and logos, are owned by Capitall India Private Limited or its licensors and are protected by intellectual property laws. Except for the limited rights granted in these Terms, no rights are transferred to you.
If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them to improve the Services, without obligation to you.
08 Third-party services
The Services may interoperate with or link to third-party products and websites. We do not control and are not responsible for third-party services, and your use of them is governed by their own terms and policies. Any integration you enable is at your discretion and risk.
09 Fees and subscriptions
Access to paid features is governed by the Subscription Agreement or order form between us and the Customer, which sets out the fees, billing terms and subscription period. Unless that agreement says otherwise, fees are non-refundable, and we may suspend access for non-payment. Where no separate agreement exists, any free or trial access is provided on these Terms and may be modified or withdrawn at any time.
10 Confidentiality
Each party may receive information that is confidential to the other. The receiving party agrees to protect such information with reasonable care, to use it only as needed to exercise its rights or meet its obligations under these Terms, and not to disclose it to third parties except as permitted or required by law.
11 Disclaimers
12 Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising out of or relating to the Services. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts paid by the Customer to us for the Services in the twelve months preceding the event giving rise to the claim, or, where no fees have been paid, a reasonable amount as determined under applicable law. Nothing in these Terms excludes liability that cannot be excluded by law.
13 Indemnity
You agree to indemnify and hold harmless Capitall and its officers, employees and agents from any claims, damages, losses and expenses arising from your misuse of the Services, your Customer Content, or your breach of these Terms or of applicable law.
14 Term, suspension and termination
These Terms apply while you use the Services. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination — including those on intellectual property, confidentiality, disclaimers, liability and governing law — will continue to apply.
15 Changes to the Services and these Terms
We may update the Services and these Terms from time to time. When we make material changes to these Terms, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect means you accept the revised Terms.
16 Governing law and disputes
These Terms are governed by the laws of India. Subject to any applicable Subscription Agreement, the courts at Delhi, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, without prejudice to any right we may have to seek relief in another competent jurisdiction.
